These terms govern your use of esmhconsulting.com (the "Site"), operated by E.S.M.H Consulting FZE ("ESMH", "we", "us", "our"). By using the Site, you agree to these terms. If you don't agree, please don't use the Site. Separate written engagement letters govern any consulting services we deliver to clients.

1. About us

E.S.M.H Consulting FZE is a Free Zone Establishment registered in Umm Al Quwain, United Arab Emirates. Full company information is on our Legal Notice page.

2. The Site is informational

The content on this Site — articles, service descriptions, frameworks, examples — is provided for general information purposes only. It is not advice tailored to your situation and does not create any consultant–client relationship between you and ESMH.

Nothing on this Site is, or should be construed as, legal, tax, accounting, financial, medical, or psychological advice. If you need advice, engage an appropriately qualified professional.

3. Engaging us as a client

Submitting an inquiry through our contact form does not create an engagement. A consulting engagement begins only when both parties have signed a separate written agreement (sometimes called a Statement of Work, Engagement Letter, or Master Services Agreement) that defines the scope, deliverables, fees, timelines, confidentiality, IP ownership, and termination rights for that specific engagement.

The terms of any signed engagement letter take precedence over anything on this Site if there is a conflict.

4. Intellectual property

All content on this Site — copy, the ESMH name and logo, design, code, photography, frameworks, and any downloadable resources — is owned by E.S.M.H Consulting FZE or used with permission, and is protected by intellectual-property laws.

You may view the Site, share links to it, and quote brief excerpts with attribution. Any other use — copying substantial portions, republishing, scraping for commercial purposes, training machine-learning systems on our content, or re-using our brand assets — requires prior written permission. Email contact@esmhconsulting.com if you'd like to discuss a use case.

5. Acceptable use

You agree not to use the Site to:

• send spam, abusive, harassing, or fraudulent messages through the contact form;
• attempt to gain unauthorized access, probe vulnerabilities, or interfere with operation;
• scrape content at scale, or use automated tools that place an undue load on our infrastructure;
• misrepresent your identity or impersonate another person or entity;
• violate any applicable law in your jurisdiction or ours.

6. Third-party links and tools

The Site may link to third-party websites or use third-party services (e.g. Google Fonts, Google Apps Script). We do not endorse and are not responsible for the content, terms, or practices of those third parties. Use of those services is at your own risk and subject to their respective terms.

7. Disclaimers and limitation of liability

The Site is provided "as is" and "as available." To the maximum extent permitted by applicable law, ESMH disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

To the maximum extent permitted by applicable law, ESMH and its personnel are not liable for any indirect, incidental, consequential, special, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising out of your use of the Site, even if we have been advised of the possibility of such damages. Our total liability for direct damages arising from your use of the Site is limited to one hundred United Arab Emirates dirhams (AED 100).

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, in which case these limits apply only to the extent permitted by your local law.

9. Changes to these terms

We may update these terms from time to time. The "Last updated" date at the top of this page reflects the most recent change. Continued use of the Site after a change constitutes acceptance of the updated terms.

10. Governing law and disputes

These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Umm Al Quwain, without regard to conflict-of-laws principles. Any dispute arising out of or in connection with these terms or the Site shall be submitted to the exclusive jurisdiction of the competent courts of Umm Al Quwain, UAE — except where mandatory consumer-law rules of your country of residence give you the right to bring proceedings in your home jurisdiction.
